I think that what we should keep in mind is that Wikimedia's core values is transparency and openness. WMF's Board Minutes are usually publicly available: http://wikimediafoundation.org/wiki/Meetings and the Resolutions that are made even show what each Board Member voted for: 
http://wikimediafoundation.org/wiki/Resolution:Fundraising_2012. I think that this is quite important for us (as members) to know since 1) It improves the accountability of Board Members and 2)Knowing what each Board Member voted for what is crucial for me. Since if a Board Member wants to be re-elected, I would (personally as a voting member) want to know whether his actions -- or inactions -- were in the best interest of the Chapter.
